Sparrow

Terms of service

Last updated October 14, 2026

These terms cover your use of Sparrow, the software farms use to run community-supported agriculture. Sparrow is operated by Strata Studio (“we”). By creating a farm account you agree to them.

Who this agreement is with

If you are a farm, this agreement is between your farm and us, and it governs your use of the software.

If you are a member who bought a share, your agreement is with the farm, not with us. The farm sets the price, decides what goes in your box, and owns its refund and cancellation policy. We provide the software the farm uses to sell to you; we are not the seller and we are not a party to that sale. Questions about your share go to your farm.

What Sparrow is, and is not

Sparrow is operational software that also facilitates member sales. We do not grow or handle food, and we take no part in whether a farm’s product is fit to eat. Food safety, labeling, weights and measures, organic claims, and agricultural licensing remain the farm’s responsibility. Sparrow is software the farm uses to run its own sales; it is not a marketplace facilitator. The farm is the seller and is responsible for its member-sales tax obligations. Stripe Tax may calculate and record tax for the farm’s connected Stripe account using the farm’s Tax settings and registrations plus the product type supplied with the charge. The farm decides where it is registered and remains responsible for reporting, filing, and remitting any tax due. Sparrow does not make those decisions or do those jobs for the farm.

Your account

Sign-in is passwordless: a one-time link sent to your email, or a Google account. Whoever controls that inbox controls the account, so keep it secure. Farm owners choose who else gets access and at what level, and are responsible for what those people do. Tell us promptly if you think an account has been reached by someone who should not have it.

You agree not to use Sparrow to break the law, to send email to people who did not give the farm their address, to attack or overload the service, or to reach another farm’s data.

Money

Member payments run through Stripe as destination charges created on Sparrow’s platform account and settled to the farm’s connected account. The farm remains the seller and settlement merchant. Stripe’s own terms apply to the farm’s use of Stripe, including its fees, disputes process, and payout schedule. Sparrow retains only its platform fee and Stripe’s processing fee from the farm’s transfer. Any member-sales tax calculated by Stripe remains in the farm’s transfer and belongs to the farm’s connected-account tax records.

Chargebacks, disputes, and refunds to members are between the farm, the member, and Stripe. We give the farm the tools to issue a refund and to see what was charged; we do not decide whether one is owed.

What Sparrow costs: a new farm pays Sparrow $50 each month through Stripe Billing. Sparrow also takes a 2% application fee from member payments processed through the platform, in addition to Stripe’s own processing fees. The price and renewal cadence are shown before the farm enters payment details. Farms active before the paid signup launch remain grandfathered unless they separately agree to paid terms; Sparrow does not apply the $50 subscription retroactively.

Your data is yours

A farm’s records — its members, seasons, orders, and history — belong to the farm. We use them to run the service for that farm and for nothing else: not to sell, not to advertise, not to build a product out of one farm’s information for another’s benefit. What is collected and who processes it is in the privacy policy.

If you leave, you can export your data on the way out, and we will delete it on request. Ask before closing the account rather than after.

The service will change, and sometimes break

Sparrow is early and under active development. Features will change and some will be removed. There is no uptime guarantee and no support response time promised in these terms; if we agree to one with your farm in writing, that agreement wins over this paragraph.

We will give reasonable notice before a change that would break how a farm works, and we will not delete a farm’s data without warning.

Ending it

A farm can stop using Sparrow at any time. We can suspend or close an account that breaks these terms, is being used to harm someone, or is not paying an agreed fee — and except where someone is being harmed or the law requires otherwise, we will tell you first and give you a chance to fix it and to get your data out.

Warranties and liability

The service is provided as it is, without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that it will be uninterrupted, error-free, or that it will not lose data.

To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost data. Our total liability for any claim relating to Sparrow is limited to the greater of the fees you paid us in the twelve months before the claim, or one hundred US dollars.

Some jurisdictions do not allow these limits, in which case they apply only as far as they are permitted.

Changes to these terms

If these terms change materially, farms are emailed and the date at the top changes. Continuing to use Sparrow after that means the new terms apply.

Governing law

These terms are governed by the laws of the State of North Carolina, United States, without regard to its conflict-of-laws rules, and any dispute will be brought in the state or federal courts located there.
